1. Agreement to Terms

By accessing or using ICT 365's website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

ICT 365 provides IT managed services, cloud solutions, cybersecurity services, and related technology consulting to businesses in the Cayman Islands and internationally. Our services include but are not limited to:

  • Managed IT services and infrastructure management
  • Cloud computing and migration services
  • Cybersecurity solutions and compliance
  • Help desk and technical support
  • Network monitoring and management
  • Backup and disaster recovery

3. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

4. Service Agreements

Specific services provided by ICT 365 may be subject to additional terms outlined in separate service agreements, statements of work, or contracts. In the event of a conflict between these Terms and a separate service agreement, the service agreement shall prevail.

5. User Responsibilities

When using our services, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breaches
  • Comply with all applicable laws and regulations
  • Not use our services for any unlawful or prohibited activities
  • Not interfere with or disrupt our services or systems
  • Not attempt to gain unauthorized access to our systems or networks

6. Payment Terms

Fees and Billing

You agree to pay all fees associated with your use of our services as outlined in your service agreement. Fees are typically billed monthly or as otherwise specified in your agreement.

Late Payments

Late payments may be subject to interest charges and may result in suspension or termination of services. We reserve the right to charge a late fee of 1.5% per month (or the maximum allowed by law) on overdue balances.

Refunds

Refund policies vary by service and are specified in your service agreement. Generally, fees for services already rendered are non-refundable.

7. Intellectual Property

Our Property

All content, materials, software, and intellectual property on our website and in our services are owned by ICT 365 or our licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your Property

You retain all rights to your data and content. By using our services, you grant us a limited license to access, store, and process your data solely for the purpose of providing services to you.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This obligation survives termination of services.

9. Data Security and Privacy

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security. Our collection and use of personal information is governed by our Privacy Policy.

10. Service Level Agreements

Service level commitments, including uptime guarantees and response times, are specified in separate Service Level Agreements (SLAs) associated with your service plan. We strive to meet or exceed these commitments but cannot guarantee uninterrupted service.

11. Limitation of Liability

To the maximum extent permitted by law, ICT 365 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claim arising from these Terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Indemnification

You agree to indemnify, defend, and hold harmless ICT 365, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

14. Termination

By You

You may terminate your service agreement at any time by providing written notice as specified in your service agreement, typically 30 days in advance.

By Us

We may suspend or terminate your access to our services immediately if you violate these Terms, fail to pay fees, or engage in activities that harm our business or other clients.

Effect of Termination

Upon termination, your access to our services will cease, and we will make your data available for retrieval for a limited period as specified in your service agreement. You remain responsible for all fees incurred prior to termination.

15. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or failures of third-party services or infrastructure.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in the Cayman Islands in accordance with the rules of the Cayman Islands Arbitration Centre.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our website. Your continued use of our services after such notice constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and ICT 365 regarding the use of our services and supersede all prior agreements and understandings.
